1. Your Acceptance
This agreement (“Agreement”) governs the products and services (“Services”) provided to you by Patika Global Technology Ltd. through audit-now.com
This Agreement is between the entity operating the Services (Patika Global Technology Ltd.) and the individual or organization agreeing to these terms (“you”). If a separate written agreement has been executed between you and Patika Global Technology Ltd. for the Services, that agreement will take precedence over these Terms.
By agreeing to this Agreement, you confirm that you are at least 18 years old and have the legal authority to fulfill the obligations under this Agreement. If you are entering this Agreement on behalf of a company or organization, “you” will refer to that entity, and you confirm that you are authorized to bind it to this Agreement.
You accept the terms of this Agreement by creating an account or selecting the “I agree” option presented during sign-up. If you do not agree, you must not click the “I agree” button or use the Services. This Agreement becomes effective on the date you first access or use the Services (“Commencement Date”).
2. Service
The Services provided through audit-now.com include:
- Cloud-based, software-as-a-service solutions that allow users to create, customize, and manage checklists and audits.
- Any related support services we provide.
- Other tools, features, or services made available to you, excluding:
- Any data, templates, content, or materials you upload, generate, or provide while using the Services ("Your Data").
- Modifications you or others make to the Services or any associated content or technology provided by Patika Global Technology Ltd. ("Your Modifications").
- Shared resources or materials made available by us or other users of the Services ("Shared Materials").
- Any hardware or external devices.
- Any connectors or integrations created by parties other than us or our authorized partners.
Changes to the Services
We reserve the right to modify the Services at any time, including functionality, features, or performance. You agree that this Agreement applies to any updates or changes made to the Services.
If we make a significant change that materially reduces the functionality of a core feature or discontinue a feature without an equivalent replacement, we will notify you in advance.
Authorized Use of Services
We will provide the Services to you and any users you authorize (“End Users”) for your internal use. Any license to use the Services is non-exclusive, non-transferable, and non-sublicensable.
You must not, and must not allow others to:
- Rent, lease, sell, transfer, or distribute access to the Services to third parties.
- Copy, modify, or create derivative works from the Services.
- Attempt to reverse-engineer, decompile, or obtain the source code of the Services.
- Use the Services to create or offer a competing product.
You must notify us promptly if you become aware of any breach of these conditions.
Compatibility
You are responsible for ensuring that any devices or systems you use with the Services meet the minimum requirements specified by us. Patika Global Technology Ltd. is not liable for performance issues caused by incompatible devices or systems.
3. No-Charge Services
Patika Global Technology Ltd. may provide certain Services at no charge, including free accounts, trial use, access to beta features, or other complimentary offerings (“No-Charge Services”). You acknowledge that beta or pre-release features are still under development and may contain errors or bugs.
Your use of No-Charge Services is subject to any additional terms we specify and is permitted only for the designated period. If no specific period is provided, use is limited to 30 days.
We reserve the right to terminate your access to No-Charge Services at any time, for any reason, and without liability to you.
4. Your Accounts
To access the Services on audit-now.com , you must register for an individual user account (“User Account”). Each User Account is for a single individual and must not be shared.
The Services are intended for users aged 18 and above. By creating a User Account, you confirm that you meet this age requirement.
You are responsible for:
- Keeping your User Account password confidential.
- Ensuring that only you access and use your User Account.
- Ensuring that all activities under your User Account comply with this Agreement.
Patika Global Technology Ltd. is not responsible for any unauthorized access to your User Account resulting from your failure to safeguard your credentials.
Since audit-now.com does not include administrative accounts or roles, all User Accounts are managed solely by the individual account holder. If your User Account was created using an email address associated with an organization (e.g., a work email), you acknowledge that your account may be subject to policies or controls implemented by that organization
5. Intellectual Property Rights
Patika Global Technology Ltd. and its licensors retain all ownership rights, title, and interest in the Services, including all associated intellectual property rights such as copyrights, trademarks, designs, patents, domain names, and trade names worldwide (“Intellectual Property Rights”).
You and your licensors retain ownership of all rights, title, and interest, including Intellectual Property Rights, in the data, content, or materials you upload or create while using the Services (“Your Data”).
By using the Services, you grant Patika Global Technology Ltd. a non-exclusive, worldwide, royalty-free, sublicensable license for a limited term to access, use, modify, reformat, process, publish, copy, distribute, and display Your Data as necessary to provide the Services. Additionally, we may collect data related to your use of the Services, including Your Data (“Usage Data”), and use it internally to improve and support the Services, conduct analysis, and create aggregated datasets. Any disclosure of Usage Data will be in an aggregated form that does not identify individual users.
If you choose to share templates or content containing Your Data or modifications you’ve made (“Your Modifications”) with other users or publicly on audit-now.com, you grant both Patika Global Technology Ltd. and those users a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sublicensable license to access, use, modify, process, publish, copy, distribute, and display that content as necessary to make it available to others and allow them to use it.
If you submit feedback, such as suggestions, recommendations, or enhancement ideas, you grant us a worldwide, perpetual, irrevocable, royalty-free license to use, modify, publish, process, copy, distribute, and display your feedback. We may incorporate your feedback into the Services without any obligation to you, and you waive any moral rights associated with it.
6. Using Shared Materials
If you download Shared Materials from audit-now.com, to the extent permitted by law:
- Your use of Shared Materials is entirely at your own risk.
- Patika Global Technology Ltd. is not liable to you or any third party for your use of Shared Materials.
- It is your responsibility to evaluate the suitability of Shared Materials for your specific needs and, if necessary, seek professional advice to modify them as required for your purposes.
7. Your Data
You warrant that Your Data and any modifications you make to it (“Your Modifications”):
If you download Shared Materials from audit-now.com, to the extent permitted by law:
- Comply with Patika Global Technology Ltd.’s policies, including any applicable Acceptable Use Policy.
- Are accurate, not false, misleading, or deceptive.
- Do not infringe on the rights of third parties, including Intellectual Property Rights and privacy rights. You confirm that you own all necessary rights, title, and interest in Your Data and Your Modifications, or have secured the required permissions to grant the licenses outlined in this Agreement.
- Adhere to all applicable laws and regulations.
- Are free of viruses, malware, or any malicious code, files, or programs.
If we suspect, in good faith, that Your Data or Your Modifications violate any of the above warranties, Patika Global Technology Ltd. reserves the right to remove them from the Services or our platform. Where possible and lawful, and if no risk is posed to us or other users, we will notify you before or after such removal.
You are responsible for obtaining all necessary consents from individuals whose personal information is included in Your Data to allow Patika Global Technology Ltd. to process it while providing the Services.
Additionally, you acknowledge that it is your responsibility to create and maintain backups of Your Data and Your Modifications.
You agree to indemnify, defend, and hold harmless Patika Global Technology Ltd., its affiliates, service providers, employees, contractors, officers, and users against any claims, costs, damages, losses, liabilities, and expenses (including legal fees) resulting from:
- Your breach of any minimum age requirements.
- Your failure to secure necessary consents from individuals regarding their personal information.
- Any violation of the warranties related to Your Data as outlined in this section.
We will provide reasonable assistance in defending such claims, including:
- Promptly notifying you of any claim.
- Granting you the exclusive right to manage the investigation, defense, or settlement of the claim.
- Cooperating with you as reasonably needed, at your expense.
8. AI Features
Patika Global Technology Ltd. may offer features on audit-now.com that leverage third-party artificial intelligence systems (“AI Features”).
Responsibility for Input and Output
You are responsible for any text, images, or other content you provide to the AI Features (“Input”) and the materials generated by the AI Features based on your Input (“Output”). Both Input and Output are considered Your Data under this Agreement, and you must ensure they comply with this Agreement and our policies. You agree not to include any personal information in your Input.
You may use the Output for any legally permissible purpose, provided it complies with this Agreement and you accept that such use is entirely at your own risk. If you share or distribute the Output, you must inform others that it was generated by AI.
Nature of AI-Generated Output
You acknowledge that the Output is generated by artificial intelligence, has not been verified by Patika Global Technology Ltd., and does not reflect our views. We do not guarantee the accuracy, completeness, or reliability of the Output and are not responsible for any errors, omissions, or consequences resulting from its use. We recommend seeking professional advice before acting on any AI-generated information.
Sharing Input with Third Parties
Any Input you provide, including any personal or sensitive data, may be shared with third-party providers (such as OpenAI, LLC) to facilitate the AI Features. These third-party providers may use the Input to improve their services. By using AI Features, you consent to your Input, including personal information, being shared with such providers.
Prohibited Uses of AI Features
You must not use AI Features to:
- Mislead others into believing the Output is human-generated.
- Provide medical, legal, or financial advice.
- Create legally binding obligations.
- Generate political content, source code, spam, viruses, ransomware, or shocking content.
- Include profane subjects or use the Output for legal proceedings.
- Engage in fully automated decision-making.
If any Output violates these terms or is unlawful, Patika Global Technology Ltd.reserves the right to remove it, report it to authorities, and suspend or terminate your account.
Usage Limits and Language Availability
We may impose limits on the number of Outputs you can generate and will notify you when you reach your maximum allowance. Some AI Features may not be available in all languages.
9. Confidentiality
For the purposes of this Agreement, “Confidential Information” refers to any information provided by one party (the “Disclosing Party”) to the other (the “Receiving Party”) that is either explicitly labeled as confidential at the time of disclosure or would reasonably be understood as confidential based on its nature or the circumstances surrounding its disclosure. This includes, but is not limited to, information related to the Disclosing Party’s business, operations, strategy, technology, clients, employees, suppliers, or contractors. Confidential Information does not include information that:
- Is publicly available (e.g., Shared Materials) unless it became public through a breach of confidentiality.
- Was independently created by the Receiving Party without reference to the Disclosing Party’s information and prior to its disclosure.
- Was already known to the Receiving Party before disclosure, as proven by written records.
- Was lawfully obtained by the Receiving Party from a third party without violating confidentiality obligations.
Obligations of the Receiving Party
The Receiving Party must maintain the confidentiality of the Disclosing Party’s Confidential Information and must not disclose it to any third party except in the following cases:
- With Consent: Disclosure to a third party is allowed if the Disclosing Party provides prior written consent.
- To Representatives: Disclosure is permitted to the Receiving Party’s officers, employees, agents, contractors, professional advisers, insurers, or affiliates (“Representatives”), provided that:
- These Representatives are bound by confidentiality obligations at least as strict as those outlined in this Agreement.
- They require access to the Confidential Information to perform their duties.
- Legal Requirement: Disclosure is permitted if required by law or a legal authority, provided that:
- The Receiving Party makes a reasonable effort to notify the Disclosing Party before disclosure (if legally allowed).
- Only the minimum necessary information is disclosed as required by law.
The Receiving Party must use the Disclosing Party’s Confidential Information solely for the purposes it was provided under this Agreement and is responsible for ensuring that its Representatives comply with the confidentiality obligations.
10. Privacy and Security
Patika Global Technology Ltd. takes appropriate technical and organizational measures to safeguard Your Data, including protecting any personal data within it from unauthorized access, unlawful processing, accidental loss, destruction, or damage. We comply with all applicable privacy and data protection laws in relation to the Services provided under this Agreement. Any personal data collected from you or other users will be handled in accordance with our Privacy Policy.
You are responsible for complying with all relevant privacy and data protection laws and ensuring that you have obtained all necessary consents from individuals, including any users, to enable Patika Global Technology Ltd. to provide the Services.
11. Limitation on Liability
Unless expressly stated in this Agreement or required by applicable law, the Services and any other goods or services provided by Patika Global Technology Ltd. are offered on an “as is” basis. We make no warranties, whether express or implied, regarding the Services, including but not limited to:
- Implied warranties of merchantability or fitness for a particular purpose.
- Guarantees that the Services will operate without interruption or error.
- Promises that all defects will be corrected.
To the fullest extent permitted by law, Patika Global Technology Ltd. is not liable for any damages arising from:
- Your misuse of the Services or actions/omissions of your personnel.
- Service outages or interruptions, or losses caused by networks or websites outside our control.
- Injury, property damage, or other losses incurred in connection with your use of the Services.
- Your violation of any laws applicable to your business activities, including but not limited to health and safety regulations, arising from your use of the Services.
To the maximum extent allowed by law, neither party will be liable for:
- Loss of profits, revenue, anticipated savings, or data.
- Costs related to delays, business interruptions, or failure of security mechanisms.
- Indirect, incidental, special, consequential, or punitive damages, even if advised of their possibility or if a remedy fails in its essential purpose.
The total liability of either party for any claims under this Agreement, regardless of the basis of the claim (contract, tort, statute, etc.), will not exceed the total fees paid by you (if applicable) in the 12 months immediately preceding the event giving rise to the liability.
